These Terms of Use (“Terms”) govern access to and use of www.thepassport-project.com and its related pages, content, and features (collectively, the “Site”).

The Site is owned and operated by The Passport Project (“The Passport Project,” “we,” “us,” or “our”), located at 1115 Howell Mill Rd NW, P150, Atlanta, Georgia 30318.

By accessing or using the Site, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Site.

1. Purpose of the Site

The Site provides information about The Passport Project and its photography, video, editorial, destination-marketing, hospitality-evaluation, licensing, consulting, and related professional services.

The Site is currently intended primarily for business representatives who are at least 18 years old. It is not intended to create a client relationship or serve as a substitute for a written services agreement.

 

2. Ownership of the Site and Its Content

Unless otherwise expressly identified, the Site and all material appearing on it are owned by, licensed to, or used with permission by The Passport Project.

Protected material may include:

- Photographs and image collections;
- Video, audiovisual, and multimedia material;
- Articles, editorial content, captions, descriptions, and other written material;
- Hospitality evaluations, reviews, ratings, observations, and reports;
- The selection, arrangement, presentation, design, and compilation of Site content;
- The Passport Standard and its original written expression, organization, presentation, criteria, and supporting materials;
- Graphics, logos, icons, layouts, color combinations, and design elements;
- Downloadable materials, proposals, presentations, and reports;
- Business names, service names, slogans, and other brand identifiers; and
- Site software and functionality.

This material is protected by United States and international copyright, trademark, unfair-competition, and other intellectual-property laws.

Except for the limited permission expressly granted below, no right, title, license, or interest in the Site or its content is transferred to you.

 

3. Limited Permission to Use the Site

Subject to these Terms, The Passport Project grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable permission to access and view the Site for legitimate personal informational purposes or internal business evaluation.

This permission does not authorize you to:

- Download, reproduce, publish, distribute, transmit, display, perform, modify, adapt, translate, or create derivative works from Site content;
- Use Site content in advertising, marketing, social media, presentations, publications, products, services, databases, portfolios, mood boards, pitch decks, or commercial materials;
- Sell, license, sublicense, monetize, or otherwise commercially exploit Site content;
- Remove or alter copyright notices, watermarks, credits, metadata, trademarks, or other ownership information;
- Frame, mirror, republish, or display the Site or its content on another website or platform;
- Claim or imply that Site content is your work;
- Use photographs, videos, editorial content, or evaluations without a separate written license; or
- Assist another person or organization in doing any of these things.

Saving, sharing, reposting, embedding, screenshotting, or crediting content to The Passport Project does not by itself create permission to use that content.

Written permission or a content license may be requested at partnerships@thepassport-project.com.

4. Artificial Intelligence, Data Mining, and Automated Use

Except with our prior written permission or as otherwise expressly permitted by applicable law, you may not use the Site or its content to:

- Train, develop, test, validate, fine-tune, benchmark, or improve an artificial-intelligence or machine-learning system;
- Create or enhance a dataset, model, embedding, index, archive, or content-generation system;
- Generate images, video, text, ratings, evaluations, or other material that imitates, reproduces, adapts, or is derived from Site content;
- Scrape, crawl, harvest, extract, collect, or systematically copy content or data;
- Use bots, spiders, scripts, browser automation, or other automated means to access or interact with the Site;
- Circumvent technical measures intended to protect or limit access to the Site; or
- Use Site content to identify, profile, or infer information about individuals depicted or discussed.

Permission granted to a search engine to index public pages for conventional search results does not grant permission to use Site content for other purposes, including generative artificial intelligence or model training.

5. The Passport Project Marks

“The Passport Project,” “The Passport Standard,” associated logos, slogans, visual branding, and other source-identifying marks are trademarks or service marks of The Passport Project or their respective owners.

You may not use a name, logo, domain name, social-media identifier, keyword, metatag, or other designation that is identical or confusingly similar to our marks in a way that suggests affiliation, endorsement, sponsorship, or authorization.

Nothing on the Site grants a trademark license. The absence of a trademark symbol does not constitute a waiver of trademark or other rights.

6. The Passport Standard

The Passport Standard reflects The Passport Project’s professional approach to evaluating hospitality experiences. Its original written expression, categories, descriptions, organization, presentation, scoring materials, reports, training materials, and related content may not be copied, reproduced, adapted, repackaged, licensed, sold, or used to create a competing evaluation framework without prior written permission.

No rights are claimed over general ideas, facts, methods, or concepts that are not protectable under applicable law. However, access to the Site does not authorize copying or commercial use of our original expression, brand identity, proprietary materials, or confidential working materials.

7. Linking to the Site

You may link to a public page of the Site if the link:

- Is lawful, accurate, and not misleading;
- Does not reproduce Site content;
- Does not imply endorsement, sponsorship, partnership, or affiliation;
- Does not appear on a site containing unlawful, fraudulent, infringing, defamatory, or deceptive material; and
- Does not frame or obscure the Site.

We may withdraw linking permission at any time.

8. Proposal Requests and Communications

The Site allows business representatives to request a proposal or contact us regarding a potential project.

By submitting an inquiry, you represent that:

- You are at least 18 years old;
- The information you provide is accurate to the best of your knowledge;
- You are authorized to communicate on behalf of the identified organization, where applicable;
- You have the right to provide any submitted materials; and
- Your submission does not infringe or violate another person’s rights.

Submitting an inquiry does not obligate either party to proceed. It does not create a client, partnership, joint-venture, agency, fiduciary, confidential, or other professional relationship.

Do not submit trade secrets or highly confidential or sensitive information through the Site or ordinary email. Confidentiality obligations must be established through a separate written agreement.

Any proposal, estimate, recommendation, or preliminary scope we provide is subject to its stated terms and does not become binding unless accepted through an authorized written agreement.

9. No Unauthorized Submissions

The Passport Project does not accept unsolicited creative concepts, campaigns, scripts, photographs, videos, evaluation frameworks, or other creative material for development or ownership consideration.

If you voluntarily submit unsolicited material without a separate written agreement, you acknowledge that:

- The submission is not confidential;
- We have no obligation to review, use, return, or compensate you for it; and
- We may already be developing or considering material with similar themes, concepts, formats, or elements.

This section does not give us ownership of your submission.

10. Accuracy and Availability

We seek to present useful and accurate information, but Site content is provided for general informational purposes.

Hospitality operations, prices, availability, amenities, menus, policies, service levels, travel conditions, entry requirements, and destination information can change without notice. Photographs and descriptions may not reflect current conditions.

You should independently confirm important information with the relevant hotel, restaurant, destination, transportation provider, government authority, or other responsible organization before making a booking, purchase, business, or travel decision.

We do not warrant that the Site will always be available, secure, current, complete, accurate, or error-free. We may change, suspend, restrict, or discontinue any part of the Site without notice.

11. Evaluations, Opinions, and Commercial Relationships

Hospitality evaluations, reviews, commentary, and recommendations reflect professional judgment and opinion based on the circumstances, information, and experience available at the relevant time. Other people may have different experiences or opinions.

An evaluation or feature is not a guarantee that every guest, client, or visitor will have the same experience.

Where required, we will disclose material commercial relationships, complimentary services, hosted stays, sponsorships, or other relevant consideration. The existence or absence of a feature on the Site does not by itself establish endorsement, sponsorship, or a commercial relationship.

12. Third-Party Websites and Services

The Site may link to websites, booking platforms, social-media services, hospitality businesses, destinations, or other third parties.

Links are provided for convenience or reference. Unless expressly stated, a link does not mean that The Passport Project owns, controls, endorses, sponsors, or guarantees the third party.

We are not responsible for third-party content, availability, security, privacy practices, products, services, pricing, representations, or transactions. Your dealings with third parties are solely between you and the applicable third party.

13. Prohibited Conduct

You may not:

- Use the Site for an unlawful, fraudulent, deceptive, or abusive purpose;
- Infringe intellectual-property, privacy, publicity, contractual, or other rights;
- Impersonate another person or misrepresent an affiliation;
- Introduce malware, malicious code, or harmful technology;
- Attempt to obtain unauthorized access to the Site or related systems;
- Interfere with Site security, performance, or operation;
- Overload, probe, scan, or test Site systems without written authorization;
- Collect information about other visitors;
- Submit false, misleading, harassing, or unlawful material;
- Use Site content to compete unfairly with The Passport Project; or
- Encourage or assist another person in violating these Terms.

14. Copyright Concerns

If you believe material on the Site infringes a copyright that you own or are authorized to enforce, send a written notice to partnerships@thepassport-project.com containing:

- Your name and contact information;
- Identification of the copyrighted work;
- Identification and location of the allegedly infringing material;
- A statement that you have a good-faith belief that the use is unauthorized;
- A statement, made under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act for the owner; and
- Your physical or electronic signature.

This procedure is provided for reporting concerns and does not represent that The Passport Project is required to register a designated agent under the Digital Millennium Copyright Act.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

THE PASSPORT PROJECT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR SUITABLE FOR A PARTICULAR DECISION OR PURPOSE.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PASSPORT PROJECT AND ITS OWNER, PERSONNEL, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS ARISING FROM:

- Access to or use of the Site;
- Inability to access or use the Site;
- Reliance on Site content;
- Conduct or content of a third party;
- Unauthorized access to or alteration of a transmission; or
- A travel, hospitality, booking, purchasing, or business decision.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations do not exclude liability that cannot lawfully be excluded.

17. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless The Passport Project and its owner, personnel, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable costs, including attorneys’ fees, arising from:

- Your unlawful or unauthorized use of the Site;
- Your violation of these Terms;
- Material you submit;
- Your infringement or violation of another person’s rights; or
- Fraudulent, misleading, or unlawful conduct by you.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute arising from or relating to the Site or these Terms must be brought exclusively in a state court located in Fulton County, Georgia, or, where federal jurisdiction exists, the United States District Court serving that county. You consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents The Passport Project from seeking temporary, preliminary, or injunctive relief in another court when reasonably necessary to protect intellectual-property or confidential-information rights.

19. Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted on this page with a revised “Last Updated” date.

Changes apply prospectively when posted unless applicable law requires another form of notice. Continued use of the Site after updated Terms are posted constitutes acceptance of the updated Terms.

20. Severability and Waiver

If a provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

A failure to enforce a provision is not a waiver of the right to enforce it later.

21. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement concerning use of the Site. They do not replace a separately signed client, licensing, confidentiality, or services agreement.

If a signed agreement conflicts with these Terms regarding the subject of that agreement, the signed agreement controls.
